Terms and Services

Estimate Validity

This estimate is valid for thirty days from the date of submission.

Payment Schedule

Short-Term Payment Schedule:

33% Deposit upon contract signing.

33% Payment on the first day of work.

33% Final payment upon completion and approval.

Long-Term Payment Schedule:

30% Deposit upon contract signing.

20% Payment upon completion of the initial work phase.

20% Payment upon reaching mid-project completion.

20% Payment upon substantial completion of work.

10% Final payment upon inspection and approval.

Commencement and Completion

The Contractor shall commence work on or about [TBD] through [TBD], subject to material shortages, change orders, or any unforeseen conditions that may arise.

Interest Charge

Payments due and unpaid under this contract shall bear interest from the due date at the maximum legal prevailing rate at the place where the work is performed.

General Exclusions

The Contractor is not responsible for the cleanup or removal of hazardous materials, waste, or chemicals from the Customer’s property. The Contractor shall not be liable for any future damage to the project resulting from existing conditions on the Customer’s property, including but not limited to soil instability, drainage issues, structural deficiencies, or any other environmental factors. The Customer acknowledges that these conditions may impact the integrity and longevity of the work performed.

Changes

The Customer may request changes to the Proposal, and the contract sum shall be adjusted accordingly. However, the Contractor shall not be required to perform any work unless both parties agree on the cost adjustment in writing through a signed Change Order.

Customer’s Responsibility

The Customer shall be responsible for and pay for all charges required for the work to be performed. The Customer shall also ensure that the site is accessible and free of obstructions to allow the Contractor to perform the work efficiently.

Delays Beyond Contractor’s Control

The Contractor shall not be held liable for any delays caused by circumstances beyond its control, including but not limited to weather conditions, supply chain disruptions, labor strikes, unforeseen structural issues, or changes requested by the Customer. Any such delays may result in an extension of the project timeline.

Warranties and Repairs

The Contractor warrants that all work performed shall be free from defects in materials and workmanship for a period of [Insert Timeframe] following project completion. This warranty excludes damages resulting from misuse, neglect, alterations by the Customer, or natural wear and tear. The Contractor shall have the first opportunity to correct any deficiencies before the Customer seeks repairs from a third party.

Indemnification

The Customer agrees to indemnify and hold the Contractor harmless from any claims, liabilities, damages, or expenses arising out of the Customer’s negligence, failure to maintain the work after completion, or failure to disclose any known issues with the property that could affect the work being performed.

Site Safety and Security

The Contractor shall take reasonable precautions to ensure site safety. However, the Customer acknowledges responsibility for keeping children, pets, and unauthorized persons away from the work area. The Contractor shall not be held liable for injuries or damages caused by unauthorized access to the site.

Litigation Costs and Attorney Fees

In the event of any default by the Customer, the Customer shall be responsible for the cost of collection, including reasonable attorney's fees awarded to the Contractor by any court of competent jurisdiction.

Assignment

The Parties agree not to assign any responsibilities in this Agreement to a third party unless consented to in writing by both parties.

Entire Agreement

This Agreement contains the entire agreement and supersedes all prior agreements, understandings, inducements, and conditions, whether express or implied, oral or written, with respect to the subject matter herein.

Representation and Warranties

Both parties agree and affirm that they are fully authorized to enter this Agreement. The obligations of both parties do not violate the rights of any third party or any other agreements made between them and any other organization, person, business, or governmental regulation.

Disclaimer of Warranties

The Contractor warrants to complete the services listed in this Agreement as per the agreed-upon requirements and specifications. However, the Contractor does not guarantee that such services will lead to additional sales, exposure, brand recognition, profits, or other similar benefits.

Limitation of Liability

Under no circumstances shall either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this Agreement unless directly resulting from one party’s negligence or breach.

Notice of Cancellation

The Customer, by execution of this contract, acknowledges receipt of a signed copy of this contract and further acknowledges the Customer's cancellation rights as follows:

YOU MAY CANCEL THIS TRANSACTION WITHOUT ANY PENALTY OR OBLIGATION WITHIN THREE BUSINESS DAYS FROM THE ABOVE DATE.

IF YOU CANCEL, ANY PROPERTY TRADE-IN, PAYMENTS MADE, AND ANY NEGOTIABLE INSTRUMENT EXECUTED BY YOU WILL BE RETURNED WITHIN TEN BUSINESS DAYS FOLLOWING RECEIPT OF YOUR CANCELLATION NOTICE. ANY SECURITY INTEREST ARISING OUT OF THE TRANSACTION WILL BE CANCELLED.

IF YOU CANCEL, YOU MUST MAKE AVAILABLE TO THE CONTRACTOR AT YOUR RESIDENCE, IN SUBSTANTIALLY THE SAME CONDITION AS WHEN RECEIVED, ANY GOODS DELIVERED UNDER THIS CONTRACT. IF THE CONTRACTOR DOES NOT PICK THEM UP WITHIN TWENTY DAYS OF THE CANCELLATION DATE, YOU MAY RETAIN OR DISPOSE OF THE GOODS WITHOUT ANY FURTHER OBLIGATION.

TO CANCEL THIS TRANSACTION, MAIL OR DELIVER A SIGNED AND DATED COPY OF THIS CANCELLATION NOTICE OR ANY OTHER WRITTEN NOTICE TO: QCEnhancements@gmail.com
